Version 2026-10-12, effective 2026-10-12
Terms of Service
DRAFT for legal review. Not final.
These terms are between [TO CONFIRM: legal entity name], registered at [TO CONFIRM: registered office address] ("Spurtree", "we") and the person or organisation that creates a workspace or uses ADIS ("you"). If you accept for an organisation, you confirm you can bind it. By creating an account or using the Service you accept these terms.
1. The Service
ADIS ("the Service") is a software-as-a-service product that connects to your requirement, ticket and code tools and uses AI to analyse them and help produce plans, code changes and reports. Features and plans may change. [TO CONFIRM: plan names and feature list, or link to the pricing page.]
2. Accounts and workspaces
- You sign in through our identity provider, WorkOS, using the methods we offer.
- Your data lives in a workspace. The person who creates it is its first Owner. Owners and Admins control members, roles, integrations and billing, as the product allows.
- Keep your credentials safe. You are responsible for activity under your account and workspace, including by people you invite.
- Give us accurate information and keep it up to date.
- You must be [TO CONFIRM: minimum age, e.g. 18] or older.
- Agencies may create and manage client workspaces and must hand them over to the client's Owner.
3. Acceptable use
You will not:
- break the law or infringe anyone's rights, or upload content you have no right to use;
- upload malware, or probe, scan or attack the Service or other customers (security scans we run for you are limited to repositories and targets you are authorised to test);
- try to access another workspace's data, bypass limits, or resell the Service except as an agency under the product's agency feature;
- use the Service to build a competing product or to train a model, or exceed fair-use limits we apply to credits and AI usage;
- use bring-your-own AI keys or integration credentials you are not allowed to use.
We may limit, suspend or remove content or access that breaches these rules.
4. Your content
- Ownership. You own your content: requirements, tickets, source code, documents, files and other material you put into or connect to the Service ("Customer Content"), and your rights in AI output as far as the law and our providers allow. We own the Service and our materials.
- Licence to us. You give us a limited licence to host, copy, process, transmit and display Customer Content only as needed to run, secure, support and improve the Service for you, including sending it to the sub-processors on our Sub-processors page and to services you connect.
- Your responsibility. You confirm you have the right to give us the content and to connect the repositories and tools you connect, and that doing so is lawful.
- Aggregate data. [TO CONFIRM: whether we may use de-identified usage statistics.]
5. AI output
The Service uses AI models from third parties. AI output can be wrong, incomplete, insecure or similar to other output. You must review output, including generated code and security findings, before relying on it or merging it. We do not guarantee any result. You are responsible for how you use the output. See the Privacy Policy for how content is sent to AI providers.
6. Plans, credits and billing
- Trial. New workspaces start with a free trial, currently 14 days. [TO CONFIRM: trial limits; during a trial AI use is capped per day.]
- Credits. AI work is metered in credits. Plans and top-ups add credits. Usage is deducted as work runs. A workspace using its own AI provider key is billed by that provider, not in credits. [TO CONFIRM: credit expiry and rollover rules.]
- Payment. Payments are processed by Razorpay. Customers in India pay in Indian rupees (INR) and customers elsewhere pay in US dollars (USD). Prices shown are before tax unless stated.
- Tax. For INR invoices we add GST (CGST and SGST, or IGST, depending on the place of supply). Give us a valid GSTIN and billing address if you want it on the invoice. Other taxes are your responsibility. [TO CONFIRM: tax treatment of non-India customers.]
- Invoices. We issue invoices for each payment.
- Renewal and cancellation. Subscriptions renew each period until cancelled. [TO CONFIRM: renewal, upgrade, downgrade and cancellation mechanics.]
- Refunds. [TO CONFIRM: refund policy.]
- Price changes. [TO CONFIRM: notice period for price changes.]
7. Non-payment, suspension and read-only mode
If a payment fails, a subscription is cancelled or a trial ends, the workspace becomes read-only. You can still read and export your data, but AI work and changes are blocked. We email Owners before deletion. If it stays read-only for 30 days [TO CONFIRM: retention period], the workspace and its data are deleted. We may also suspend a workspace for breach of these terms, security risk or legal reasons. [TO CONFIRM: notice before suspension.]
8. Termination and deletion
- You can delete your workspace at any time as an Owner, with a 7-day undo window. Any user can delete their own account (an Owner must first hand over the workspace).
- We may end or suspend your access for material breach, non-payment, or legal reasons.
- After deletion we purge your data as set out in the Privacy Policy, except records we must keep by law, such as invoices.
- Export your data before deleting. Owners can download an export.
- Sections that should survive termination do so (ownership, confidentiality, disclaimers, liability, governing law).
9. Confidentiality
Each of us will keep the other's non-public information confidential, use it only for the Service, and protect it with reasonable care, except where disclosure is required by law or the information is already public or independently known. Your Customer Content is your confidential information. Spurtree staff can access a workspace only through a grant you approve, as described in the Privacy Policy.
10. Security and privacy
We use reasonable technical and organisational measures to protect the Service, including per-workspace encryption keys and data separation. See the Privacy Policy and the Sub-processors page. [TO CONFIRM: whether a data processing addendum or security whitepaper is offered, and uptime or SLA commitments.]
11. Third-party services
The Service works with services you connect (for example Jira, GitHub, Bitbucket, Azure DevOps) and AI providers. Their terms apply to your use of them. We are not responsible for them.
12. Warranties disclaimer
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a purpose, non-infringement, and that the Service or AI output will be uninterrupted, accurate or error free.
13. Limitation of liability
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and
- our total liability for all claims relating to the Service is limited to [TO CONFIRM: liability cap, for example the fees you paid in the 12 months before the claim].
Nothing limits liability that cannot be limited by law. [TO CONFIRM: carve-outs.]
14. Indemnity
You will defend and indemnify us against claims arising from your Customer Content or your breach of these terms or the law. [TO CONFIRM: scope and any mutual indemnity for IP claims.]
15. Governing law and disputes
These terms are governed by the laws of India. The courts at [TO CONFIRM: city] have exclusive jurisdiction. [TO CONFIRM: whether disputes go to arbitration first, and the seat.]
16. Changes to these terms
We may update these terms. When we publish a new version, the product asks every user to accept it before they continue, and you can sign out instead. If you do not accept the new version, you may not keep using the Service. We will describe material changes in the product or by email. [TO CONFIRM: notice period.]
17. General
These terms and the Privacy Policy are the whole agreement for the Service. If part is unenforceable, the rest stays in force. You may not assign these terms without our consent. Not enforcing a right is not a waiver. [TO CONFIRM: notices, force majeure, and entire-agreement wording.]
18. Contact
[TO CONFIRM: support/legal contact email] and [TO CONFIRM: registered office address].
